Student Enrollment Agreement and Tuition Contract

This Agreement applies to both program options below. The Student selects one program at enrollment; the credits and monthly tuition stated for the selected program apply throughout this Agreement. Both programs lead to the same accredited Learn Star Academy high school diploma.

Both programs: 6.0-credit minimum Learn Star residency · 24-month maximum duration · same processing fees, cancellation, and refund terms.

Section 1 — Student Information

Section 2 — Program Description

Learn Star Academy (“the School”) is a fully accredited, 100% online adult high school operating as a component school of Excel Education Systems, Inc., a Minnesota corporation headquartered at 601 Carlson Parkway, Suite 1250, Minnetonka, MN 55305. Learn Star Academy is accredited by the Middle States Association of Colleges and Schools, Commission on Elementary and Secondary Schools (MSA-CESS).

The Student is enrolling in one of the following self-paced, 100% online programs designed for adult learners age 18 and older, as selected in Section 1: the Adult High School Diploma Program – Career Ready or the College & Career Prep Program. Upon successful completion of all graduation requirements, the School will award the Student an accredited high school diploma recognized by colleges, universities, employers, and the military.

Program: Adult High School Diploma Program – Career Ready — 21.5 Credits Minimum; or College & Career Prep Program — 24 Credits Minimum

Delivery Method: 100% online, self-paced, asynchronous via Learn Stage LMS

Maximum Program Duration: (18) months from the date of enrollment

Minimum Residency Requirement: Students must complete a minimum of 6.0 credits directly through Learn Star Academy to qualify for a diploma, regardless of transfer credits accepted.

Section 3 — Tuition, Fees, and Payment Schedule

The following fees apply to all students enrolled in a Learn Star Academy Adult High School Diploma Program. All fees are stated in U.S. dollars. The Student agrees to pay all applicable charges as described below.

3.1 Monthly Tuition Subscription — $99.00/Month (Career Ready) or $129.00/Month (College & Career Prep)

Tuition is charged as a monthly subscription of $99.00 per month for the Adult High School Diploma Program – Career Ready, or $129.00 per month for the College & Career Prep Program, according to the program selected by the Student, billed automatically to the Student's payment method on file on the same calendar date as the enrollment date each month. Monthly tuition continues until the Student's enrollment is formally cancelled, or the Student graduates.

The Student authorizes Learn Star Academy to automatically charge the monthly subscription fee for the selected program ($99.00 for Career Ready or $129.00 for College & Career Prep) to the credit card, debit card, or other payment method on file each month without further authorization. It is the Student's responsibility to maintain a valid payment method on file at all times.

If a monthly payment is declined or returned, the Student's account will be placed on a payment hold, and access to coursework may be suspended until the outstanding balance is resolved. A pattern of declining payments may result in administrative withdrawal from the program.

3.2 Diploma & Graduation Processing Fee — $19.99 (Domestic) / $75.00 (International)

A non-refundable Diploma & Graduation Processing Fee is due and payable upon successful completion of all coursework required for graduation and eligibility to receive a diploma. The processing fee is $19.99 for domestic shipping (United States) and $75.00 for international students. The Diploma & Graduation Processing Fee must be paid in full before the School will process, print, and ship the Student's diploma, official transcript, or any graduation documents.

The Diploma & Graduation Processing Fee covers the vendor cost of diploma preparation, official transcript production, academic record finalization, graduation package assembly, and shipping. The Student will be notified by the School when all graduation requirements have been met, and the fee becomes due.

3.3 Diploma & Graduation Processing Fee by Destination

The Diploma & Graduation Processing Fee includes shipping of the graduation package — the diploma, official transcript, and any associated documents — to the mailing address on file. The fee is charged according to destination as follows:

The Diploma & Graduation Processing Fee is non-refundable once the graduation package has been shipped. The School is not responsible for delays, loss, or damage caused by shipping carriers. International students are responsible for any customs duties, taxes, or import fees assessed by their country of residence.

Section 4 — Cancellation and Refund Policy

4.1 Student Right to Cancel

Students have the right to cancel this enrollment agreement at any time. There are no refunds for the monthly subscription fee once the initial 10-day refund period has passed. There is a convenient cancellation button in the student portal.

4.2 Cancellation Period

Students may cancel their enrollment at any time by using the convenient cancellation button in the student portal.

• Monthly subscription billing will cease within the same billing cycle in which the cancellation request is received, with no additional monthly charges applied after the effective cancellation date.
• After the initial 10-day refund period has passed, no refunds will be issued for the current month's tuition subscription that has already been billed and paid.
• The Diploma & Graduation Processing Fee ($19.99 domestic / $75.00 international) is non-refundable once graduation documents have been processed and dispatched.
• All credits earned through Learn Star Academy prior to cancellation will remain on the Student's official academic record, and an unofficial transcript may be requested.

4.3 Refund Schedule — Within Cancellation Period

If the Student cancels within ten (10) calendar days of enrollment, the following refund schedule applies:

Section 5 — Payment Terms and Billing Authorization

By signing this Agreement, the Student expressly authorizes Learn Star Academy and its authorized payment processors to charge the payment method provided at enrollment for:

• The monthly tuition subscription for the selected program — $99.00 for the Adult High School Diploma Program – Career Ready or $129.00 for the College & Career Prep Program — automatically on the same calendar date each month;
• The Diploma & Graduation Processing Fee ($19.99 domestic / $75.00 international), when the Student's graduation requirements are satisfied.

The Student is responsible for ensuring that a valid payment method is on file at all times. Learn Star Academy reserves the right to immediately suspend or terminate access to coursework if any payment is declined or remains unpaid. Outstanding balances must be paid in full before official transcripts, diplomas, or any graduation documents will be released.

All payments are processed in U.S. dollars. Any applicable state or local sales taxes will be assessed in accordance with applicable law and added to the amounts billed.

Section 6 — Academic Terms and Student Obligations

The Student agrees to the following academic terms as conditions of enrollment:

• The Student must be 18 years of age or older to enroll in the Adult High School Diploma Program – Career Ready or the College & Career Prep Program.
• The Student must complete a minimum of 21.5 credits (Adult High School Diploma Program – Career Ready) or 24 credits (College & Career Prep Program) to be eligible for graduation, including a minimum of 6.0 credits completed directly through Learn Star Academy.
• The maximum program duration is 24 months from the date of enrollment. If the Student has not completed all graduation requirements within 24 months, re-enrollment may be required, and additional fees may apply.
• Academic progress must be consistent and substantive.
• The Student is responsible for maintaining academic integrity in all coursework. Any form of academic dishonesty, including plagiarism or the submission of AI-generated work without attribution, is grounds for disciplinary action, up to and including dismissal, without refund.
• A minimum score of 60% on the final exam and all written assignments is required to earn credit for any course.
• Students who have been dismissed for academic dishonesty, non-payment, or violation of school policies are not entitled to a refund of any fees paid.

Section 7 — Transfer Credits

Students may request evaluation of previously earned high school credits for transfer toward the Learn Star Academy diploma. Transfer credit is subject to the following conditions:

• Official transcripts must be submitted directly from the issuing institution to the Learn Star Academy Registrar's Office. Transcripts submitted by the student directly are not accepted.
• Learn Star Academy may accept up to 75% of the required credits via transfer (up to approximately 16 credits for the Adult High School Diploma Program – Career Ready, or up to 18 credits for the College & Career Prep Program). All remaining credits must be earned directly through Learn Star Academy.
• Transfer credit determinations are made solely at the discretion of the Learn Star Academy Registrar and are not subject to appeal. Payment of the Transcript Evaluation Fee does not guarantee acceptance of any specific credits.
• GED or HiSET credits may be accepted in lieu of specific coursework in accordance with the School's GED/HiSET Credit Transfer Policy. Official score reports must be submitted directly from the testing agency.

Section 8 — Grounds for Administrative Withdrawal and Dismissal

Learn Star Academy reserves the right to administratively withdraw or dismiss a Student from the program for any of the following reasons:

• Failure to maintain a valid payment method or failure to pay any amount owed under this Agreement.
• Academic dishonesty, including but not limited to plagiarism, cheating, or misrepresentation of qualifications.
• Violation of the School's Acceptable Use Policy, Harassment and Discrimination Policy, or any other policy set forth in the Student Handbook;
• Misrepresentation of identity or enrollment status;
• Any conduct that disrupts the educational environment or harms other students or staff.

In the event of administrative withdrawal, outstanding balances remain due. Monthly subscription charges that have been billed prior to the effective date of withdrawal are non-refundable. The School will provide written notice of dismissal to the Student's email address on file.

Section 9 — Limitation of Liability and Disclaimer

The School's total liability to the Student for any claim arising out of or related to this Agreement shall not exceed the total amount of tuition and fees actually paid by the Student in the twelve (12) months preceding the claim. In no event shall the School be liable for any indirect, incidental, consequential, or punitive damages.

Learn Star Academy reserves the right to modify course offerings, program requirements, tuition rates, and policies at any time. The School will make reasonable efforts to notify enrolled students of material changes. Students are generally held to the graduation requirements in effect at the time of their enrollment.

Section 10 — Student Records and Privacy

Learn Star Academy maintains and protects student academic records in accordance with the Family Educational Rights and Privacy Act (FERPA), 20 U.S.C. § 1232g, and applicable Minnesota state law. Because all enrolled students are adult learners (age 18+), all FERPA rights belong exclusively to the Student.

Official academic transcripts will not be released to any third party without the Student's written consent, except as required by law. Official transcripts and graduation documents will not be released if the Student has an outstanding financial balance with the School.

By enrolling, the Student consents to the collection, storage, and use of personal information for purposes of administration, instruction, communication, and compliance with accreditation requirements. The School will not sell or share personally identifiable student information with unaffiliated third parties for marketing purposes.

Section 11 — Governing Law, Jurisdiction, and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of Minnesota, without regard to its conflict of law provisions. Any legal action, proceeding, or claim arising out of or relating to this Agreement shall be subject to the exclusive jurisdiction of the state and federal courts located in Hennepin County, Minnesota. The Student hereby consents to personal jurisdiction in the State of Minnesota for purposes of any such action.

In the event of a dispute, the parties agree to first attempt to resolve the matter informally by providing written notice of the dispute to the other party and engaging in good-faith negotiation for a period of no less than thirty (30) days. If the dispute is not resolved informally, either party may pursue available legal remedies in the courts described above.

Nothing in this section shall prevent Learn Star Academy from seeking injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property, confidential information, or other proprietary rights.

Section 12 — General Provisions

Entire Agreement: This Agreement, together with the Learn Star Academy Student Handbook (as amended from time to time), constitutes the entire agreement between the Student and Learn Star Academy regarding the Student's enrollment and supersedes all prior oral or written representations, promises, or understandings.

Amendment: Learn Star Academy reserves the right to amend the terms of this Agreement, the Student Handbook, and related policies. Material changes to tuition or fees will be communicated to the Student with at least thirty (30) days' written notice before taking effect.

Severability: If any provision of this Agreement is found to be invalid, illegal, or unenforceable under applicable law, the remaining provisions shall continue in full force and effect.

Waiver: The failure of either party to enforce any provision of this Agreement shall not constitute a waiver of that party's right to enforce that provision or any other provision in the future.

Assignment: The Student may not assign or transfer any rights or obligations under this Agreement without the prior written consent of Learn Star Academy. Learn Star Academy may assign this Agreement in connection with a merger, acquisition, or transfer of substantially all of its assets, or past due balances due.

Notices: All notices to Learn Star Academy under this Agreement must be sent in writing to: Learn Star Academy, Attn: Student Services, 601 Carlson Parkway, Suite 1250, Minnetonka, MN 55305, or by email to support@learnstar.com.

Section 13 — Student Acknowledgment and Signature

By signing below, the Student confirms and agrees to all of the following:

• I have read and understand this Enrollment Agreement and Tuition Contract in its entirety.
• I understand that this is a legally binding contract and agree to be bound by all of its terms and conditions.
• I authorize Learn Star Academy to charge my payment method the monthly tuition for the program I selected — $99.00 per month for the Adult High School Diploma Program – Career Ready or $129.00 per month for the College & Career Prep Program — on a recurring basis until my enrollment is formally canceled, I graduate, or the maximum twenty-four (24) month program duration has elapsed, whichever occurs first.
• I understand that the Diploma & Graduation Processing Fee ($19.99 domestic / $75.00 international) is due and payable upon completion of all graduation requirements before my diploma and graduation documents will be released.
• I have received or have been offered access to the Learn Star Academy Student Handbook and understand that the Handbook's policies are incorporated into and made a part of this Agreement.
• I understand that this Agreement is governed by the laws of the State of Minnesota.
